What Is a SC 13G?
Schedule 13G is the passive version of Schedule 13D. It is filed by investors who acquire more than 5% of a company's shares but have no intent to influence or change control of the company. Index funds, ETF providers, and traditional institutional investors typically file 13Gs, while activist investors typically file 13Ds.
Why It Matters
The 13G reveals who the major passive shareholders are at any public company. Vanguard, BlackRock, and State Street file 13Gs for virtually every large-cap company because of their index fund holdings. Knowing the major passive shareholders helps understand a company's ownership structure and voting dynamics.
