What Is a SC 13D?

Schedule 13D must be filed by any person or group that acquires beneficial ownership of more than 5% of a public company's shares and has an intention to influence the company's management or direction. It is sometimes called an "activist" filing because it often precedes efforts to change management, push for a sale, or alter corporate strategy.
